Role Overview
We are seeking a detail\-oriented, technically adept Board Secretary to join our Board of Directors. This is a critical governance role responsible for maintaining corporate records, managing board communications, and ensuring legal and procedural compliance.
This is currently a volunteer position; however, we anticipate transitioning this role to a paid or stipend\-based position in early 2027 as our organization grows. For candidates who are mission\-driven and comfortable with a hybrid volunteer\-to\-hire pathway, this is an excellent opportunity to help shape a nonprofit from the ground up.
Key Responsibilities – Governance \& Administration
- Record and distribute accurate meeting minutes for all Board and Committee meetings
- Maintain corporate records (Bylaws, Articles of Incorporation, IRS documents)
- Issue legal notices of meetings in compliance with NJ nonprofit regulations and our Bylaws
- Manage the Board calendar and coordinate meeting schedules
- Ensure Conflict of Interest policies are acknowledged and filed annually
- Act as the official liaison between the Board Chair, Executive Director, and general membership
- Ability to use AI for rapid transcription or summarization of meeting discussions into structured minutes
- Familiarity with board portals (e.g., BoardEffect, Asana, or Trello) or secure cloud storage (Google Drive, OneDrive)
- Experience with virtual meeting platforms (Zoom, Google Meet, Teams) and their AI\-enhanced features (live transcription, recording)
- Prior nonprofit board experience or paralegal/executive assistant background
- Working knowledge of Robert’s Rules of Order or similar parliamentary procedure
- Strong written communication and discretion with confidential information
- Reside in or near New Jersey (for occasional in\-person meetings, though remote is primary)

Technical \& AI Qualifications – Required
* Proficiency with AI assistant tools (e.g., ChatGPT, Microsoft Copilot, Claude, or similar) to draft, summarize, and proofread governance documents
