How you’ll contribute:
The Corporate Counsel \& Assistant Corporate Secretary role is an attorney position within Brighthouse’s Office of the Corporate Secretary, reporting to the Head of Finance Legal. This role is responsible for day\-to\-day corporate governance matters, including board and committee support, entity maintenance, regulatory compliance, and coordination with internal stakeholders and external service providers. In addition, you’ll be responsible for providing legal advice and counsel to the company’s finance and communications professionals with respect to Securities and Exchange Commission (SEC) disclosure, capital markets transactions, general corporate law matters, as well as other responsibilities.
The successful candidate will have executive presence and outstanding interpersonal skills, with critical responsibilities that include board management, board meeting preparation, legal analysis and research, preparation of minutes and reports, communications with officers and directors, and SEC reporting.
In this role, you’ll get to:
- Provide strategic advice and expert counsel to the Head of Finance Legal, members of subsidiary boards of directors and business personnel with respect to corporate governance and legal entities.
- Manage governance of Brighthouse Financial and its subsidiaries, including compliance with relevant SEC and insurance law regulatory requirements.
- Provide support for Brighthouse Financial and subsidiary business goals, including corporate governance supporting capital and liquidity management transactions, as well as finance and treasury matters.
- Support all aspects of board and committee meetings, including planning agendas, preparing and reviewing board meeting materials, drafting of minutes and resolutions, and acting as secretary, as necessary.
- Maintain accurate corporate records, including charters, bylaws, operating agreements, delegations of authority, stock register, director and officer lists.
- Monitor changes in law or regulatory guidance impacting governance.
- Draft and provide comments on drafts of SEC disclosures (including 10\-Ks, 10\-Qs, and 8\-Ks), financing and other agreements, and internal and external presentations.
- Provide advice and counsel on legal aspects of SEC reporting, financial and other communications, and treasury and capital markets transactions.
- Support the disclosure controls and procedures processes in connection with our SEC filings.
- Conduct or support due diligence review of corporate files.
- Manage outside counsel for Brighthouse, as needed.
- J.D. and current Bar membership is required.
- 4\-7 years of legal experience in corporate governance and SEC reporting.
- Strong understanding of corporate governance and securities law.
- Experience with insurance company governance and relevant regulations is a plus.
- Strong legal research, analytical, and problem\-solving skills.
- Anticipates legal issues and works proactively to address them; follows up and sees matters through to completion.
- Highly organized and process‑oriented, with a demonstrated ability to work efficiently, meet deadlines, and produce work of the highest quality.
- High level of proficiency with Microsoft suite of products, including Word, Share Point, PowerPoint, and Excel.
- Robust written and oral communication skills.
