The Opportunity:
The Corporate Counsel position is held by a mid\-career attorney who is an essential part of the in\-house team that manages OPB’s legal work. OPB’s legal department supports and defends OPB’s journalism and public service mission. This team works with OPB leadership and all departments of the organization to solve problems, assess and mitigate risks, facilitate transactions, manage litigation and administrative appeals, assist with regulatory compliance, and support OPB’s First Amendment\-protected activities. What You Will Do: Key Responsibilities:
- Draft, review, and negotiate a high volume of contracts concerning virtually all aspects of OPB’s business. This position has primary responsibility for technology acquisition and related services; facilities services and supplies agreements; software/SaaS agreements; tower site leases and property transfers; agreements for marketing/advertising services; and agreements with vendors who support OPB’s membership and fundraising activities.
- Partner with clients to advise and guide on enterprise\-wide projects.
- Supervise the Contracts Specialist.
- Serve as a member of OPB’s litigation team and offer perspective and review in various court and administrative law matters.
- Identify, retain, and manage outside counsel, in consultation with the Deputy General Counsel or General Counsel as appropriate.
- Review and advise on some work performed by OPB’s Legal Assistant.
- Collaborate with and counsel in\-house clients with respect to a wide variety of general matters, often on very short timelines.
- Provide prudent legal advice while considering business needs, including balancing the risks and benefits to OPB and evaluating potential impacts of all contemplated legal actions on the communities OPB serves.
- On an as\-needed basis, participate in review and testing of legal ops technology projects, workflow development and optimization, and related operational procedures to ensure in\-house client satisfaction.
- Incorporate OPB’s mission, vision, and core values into all decision\-making, strategy, and communications.
- Perform any other functions delegated by the Deputy General Counsel.
- The Corporate Counsel spends the majority of their time in an office environment using a computer and telephone. The legal team works on a mixed hybrid and/or fully remote basis, using equipment provided by OPB. Must reside in either Oregon or Washington. Some onsite work is expected.
- This position works approximately 40 hours/week, typically during OPB’s business hours (8am\-5pm, Monday through Friday, flex hours possible). The Corporate Counsel may be required to work outside office hours to accomplish work needs.
- Occasional travel within regional or national travel may be necessary.

- Admitted to the Oregon bar or able to pass exam and be admitted within one year of hire.
- Minimum of 5 years’ experience in structuring deals and negotiating and drafting contracts.
- Minimum of 3 years’ in\-house experience or equivalent business experience.
- Lead counsel litigation experience.
- Excellent analytical, negotiation, and legal drafting skills.
- Excellent oral and written communication, research, and organizational skills.
- Ability to isolate legal issues and provide prompt, concise, and commercially\-focused legal advice while balancing risks and benefits to OPB.
- Ability to prioritize competing issues using limited resources to accomplish results within established timeframes.
- Experience working with diverse personalities and varying levels of knowledge/experience.
- Consistent attention to detail, good judgment.
- Experience using standard office software, including Word, Excel, and Adobe Acrobat (OPB’s legal team currently uses Clio and DocuSign to manage our workflows).
- Experience using Microsoft programs such as PowerPoint, SharePoint, OneDrive, and Teams
- Intellectual capacity, humor, flexibility, patience, and creativity.
- Life experience with facing adversity; resilience.
- Knowledge of or interest in one or more of the following areas of law (could be from coursework): telecommunications, media; copyright/entertainment; non\-profit or corporate governance.
- Demonstrated experience in one or more of the following areas (could be from coursework): business/commercial transactions; drafting and negotiating contracts; technology/privacy law; copyright/media law.
50% Draft, negotiate, and review agreements concerning all aspects of OPB’s business. Supervise the Contracts Specialist.
20% Collaborate and counsel in\-house clients with respect to a wide variety of general matters, often on very short timelines.
20% Serve as a member of OPB’s litigation team and offer perspective and review in various administrative law matters.
5% On an as\-needed basis, participate in review and testing of legal ops technology projects, workflow development and optimization, and related operational procedures to ensure in\-house client satisfaction.
