At CRI, \#EverybodyCounts. About the Role: This position reports directly to the Chief Legal Officer and is fully remote within the United States. Commercial contracting is the primary focus of this role. The attorney in this seat works closely with and under the direction of the Chief Legal Officer, with autonomy expanding as familiarity with the firm’s structure, service lines, and independence requirements develops. Because the department is small, the role also reaches into employment, entity governance, M\&A, and regulatory matters earlier than it would in a larger department. The Chief Legal Officer works directly with the attorney in this seat, and the position is built for a lawyer interested in developing depth. A lawyer in this seat will see more volume and more variety in a year than most see in three. Essential Functions: Draft and negotiate client engagement letters and master services agreements across the firm’s attest and non\-attest service line. Handle vendor, software, and data agreements, including data processing addenda and information security schedules. Prepare and negotiate nondisclosure agreements and office leases. Develop contract templates, negotiation playbooks, and fallback positions for approval by the Chief Legal Officer. Support contract intake and triage, including identifying which matters require Chief Legal Officer review, which route to outside counsel, and which can be handled at the business level. Support acquisitions through contract and employment diligence, ancillary documents, restrictive covenants, transition services arrangements, and post\-closing integration. Develop and maintain AI\-assisted legal workflows, including playbook\-driven first\-pass review, clause and precedent libraries, intake triage, and obligation extraction, applying appropriate safeguards for client confidential information and professional obligations. Assist with employment matters, including restrictive covenants, separations, and multistate wage and hour questions, with support from the Chief Legal Officer and outside counsel. Assist with entity governance, and regulatory questions arising across the CRI Family of Companies. Qualifications: Juris Doctor from an accredited law school and active bar membership in good standing, with eligibility to register as in\-house counsel in the attorney’s state of residence. Four to five years of experience drafting and negotiating commercial contracts, at a law firm, in\-house, or a combination of both. Demonstrated use of AI tools in a legal or professional setting, including at least one workflow the candidate personally built or materially shaped and can describe in detail, including its limitations. Ability to manage a varied workload, work effectively under the direction of the Chief Legal Officer, and exercise sound judgment about what to escalate. Clear, plain written English suited to an audience of executives, firm partners, and private equity sponsors. Demonstrated interest in developing beyond a single practice area. Candidates who have changed practice areas, taught themselves a new subject matter, or built something outside the scope of their role are encouraged to describe that experience. Preferred: employment law experience, particularly restrictive covenants and separations; experience at or advising a partnership or other professional services organization; familiarity with alternative practice structures, professional licensing, or auditor independence rules; experience at a private equity backed company; and investment advisory or trust regulatory exposure.
